What you’ll do:

In this role, you'll provide specialized agreement review and quality control to help ensure Navy technology transfer agreements are accurate, compliant, and ready for execution. You'll review agreements against approved templates and current policy, identify potential issues or deviations, and work with the appropriate stakeholders to ensure they are addressed. You'll also help identify recurring issues and trends that can inform future policy and template improvements. This role focuses on compliance review and quality control.

Key responsibilities include:

  • Review technology transfer agreements, including CRADAs, patent license agreements, education partnership agreements, material transfer agreements, and NDAs, against approved templates and current policy.
  • Review intellectual property provisions, including background and foreground IP, government use rights, license scope and field of use, invention reporting, and applicable march-in provisions.
  • Review Controlled Unclassified Information (CUI) provisions, including marking, handling, dissemination controls, and applicable flow-down requirements.
  • Identify potential export control considerations and coordinate with the appropriate subject-matter experts for further review.
  • Identify, document, and assess deviations from approved agreement language, including recommended next steps or disposition.
  • Maintain review checklists and issue logs to promote consistent, high-quality reviews.
  • Identify recurring issues and trends and provide feedback to policy and technology transfer teams to support improvements to templates, guidance, and processes.
  • Support timely review of agreements during periods of increased volume while maintaining a consistent standard of quality and compliance.

What success looks like:

  • Enable faster, higher-quality reviews: Review T2 agreements for key contractual, IP, CUI, and compliance considerations, ensuring timely and thorough review.
  • Drive consistency and clarity: Provide clear, consistent guidance to stakeholders and help resolve agreement issues efficiently.
  • Strengthen the process over time: Identify recurring issues and opportunities to improve agreement processes, templates, policies, and guidance.

Successful candidates will have the following qualifications:

  • 7+ years of experience in intellectual property and technology transfer, including reviewing licenses, research agreements, CRADAs, patent license agreements, education partnership agreements, material transfer agreements, NDAs, or related contracts.
  • Background as an IP Paralegal, Patent Agent, non-practicing IP Attorney, or in a related intellectual property role, with the ability to understand patents, statements of work, and technical documentation.
  • Experience supporting technology transfer, ideally with federal agencies, federally funded research organizations, or federal laboratories; recent Department of War (DoW) technology transfer experience within the past 5 years is desired.
  • Familiarity with CUI requirements and other contractual and compliance considerations, with strong attention to detail, sound judgment, and the ability to clearly communicate complex issues.
  • Ability to manage a high volume of work while maintaining quality, consistency, and deadlines, and to identify recurring issues and recommend improvements to processes, policies, and templates.
  • U.S. citizenship required; an active or transferable security clearance is a plus.

Compensation:

  • Base salary range: $112-130k
    • The salary range listed for this position is based on market data and internal compensation structure. The final compensation package will be determined based on a variety of factors including, but not limited to, relevant experience, skills and education. This range is not a guarantee of compensation, and offers may fall outside this range in exceptional cases.
  • In addition to the base salary, compensation includes performance based bonus (OTE)
